| 摘 要： | 设立中公司是否具备团体性目前在我国存在争议。从我国公司设立实践分析,设立中公司具备特殊团体性构造。基于设立中公司在公司设立中的作用与影响以及实现公司法律政策目标的需要,法律应赋予设立中公司民事主体资格。
