| 摘 要： | 设立中公司是一种特殊的法律形态,是一种以成立公司为目的而进行一定活动的组织体。该组织体具有一定行为能力,但并不是法人团体。关于设立中公司法律地位,有无权利能力社团说、非法人团体说、合伙组织说、同一体说等学说。研究设立中公司法律地位,有助于明确设立中公司的权利与义务,保障实现安全交易,保护当事人的利益。
