| 摘 要： | 针对我国现行公司法不允许劳务出资的现状以及理论界认为劳务出资具有立法上的困难,从三个方面对劳务出资制度提出立法建议,即建立劳务出资的评估规则,确立劳务出资的激励约束机制,明确劳务出资者的法律责任,从而阐明劳务出资具有立法的可行性。

| Abstract: | Aimed at our current company law not allowing labor service contribution and thinking labor service contribution is difficult in legislative aspect, from three aspect this article put forward legislative suggestion, that is founding the regulation of the evaluation, establishing mechanism of encouraging and restriction, confirming legal liability of the person providing labor service, in order to explain feasibility about labor service contribution. |
