基于并购的上游发展战略

摘    要:企业并购能够促使企业有效利用不断发展完善的资本市场,增强企业市场竞争能力,顺利实现经济转型和结构调整.通过对Z公司向上游发展战略实施过程及特点的研究,分析了企业上游发展战略的驱动因素,提出了企业在上游发展战略过程中对竞争环境五个方面的影响,并分析了在并购过程中对目标选择、并购目标的确定、企业文化等方面应该注意的问题.

Abstract:Merging and acquisition promote enterprises' effective use of improving capital market,enhance their market competitiveness,and smooth the way to economic restructuring and structural adjustment.The study on Company Z's strategy to develop upstream shows the analysis of development strategy driven by the upstream business;reveals the impact in five aspects of the competitive environments during the practice of upstream strategy;and presents the key problems of target selection,acquisition identification,and corporate culture during the merging process.
