| 摘 要： | 法定代表人制是极具“中国特色”的一种法人代表权制度。这一制度来源于我国国有企业的领导体制,其主要弊端在于对董事长的权力缺乏制约性规定。因此应该从以下三个方面进行改革:公司法定代表人由公司章程加以规定,实行当事人意思自治原则;建立对公司代表人的资格审查制度;完善法定代表人应承担的法律责任。

| Abstract: | The legal representative system is one of the systems of legal entity's representative power with Chinese features,and it originates from the leading system of state-owned enterprises,the main disadvantage of which is the lack of the regulation to the pouen of the company's president.Three aspects should be reformed: The legal representative of the company should be appointed according to the regulations of the company;The system of legal representative consoring should be established;The responsbility shouldered by legal representative should be improved. |
