| 摘 要： | 通过对公司设立无效的国外考察分析,从诉讼角度出发,对公司设立无效诉因、诉讼主体、法律适用、解决方式等几方面进行剖析,尝试着对我国公司设立无效诉讼制度的构建模式进行初步设计和探索。
