| 摘 要： | 我国上市公司代理人问题产生的特殊原因在于公司治理结构的缺陷，国有股法人股的 绝对控股地位及其非流通性直接导致了代理人问题的产生。解决代理人问题的关键在于建立有效 的公司治理结构。对此文章提出了一些对策建议。

| Abstract: | The very cause of the problems of agents for listed companies in China lies in the deficiency in the companies' administrative structure, the absolute holding role of fixed and corporate stocks and their non-circulation. The key to these problems is to establish an effective administrative structure in these compa- mies. This article puts forward some suggestions and solutions. |
