| 摘 要： | 对法进行功能分析就是对法所产生的行为后果在社会整体中发挥的作用进行认识和评价。通过对我国公司法与美国公司法关于治理结构，股东会与董事会的权力及清算责任认定等方面的规定在现实中所发挥的功能进行比较，为完善我国公司法一些粗浅的意见。

| Abstract: | The analyzing to fundamental of law is the researching and evaluation of that result from law .In this thesis the writer try to use a new fundamental standard which be able to compare the actual function of Chinese Corporation Law and American Corporate Law about their corporate governance structure ,the power of board of directors and shareholders ,liquidation resposibility ,so that give some suggestion to Chinese Corporate Law. |
