| 摘 要： | 现行法律制度对电子商务应用造成障碍，主要原因在于数据电文的应用改变了市场交易的形式。因此数据电文法律地位确定和法律效力承认，成为电子商务法律制度与传统法律制度衔接的重要步骤。通过借鉴联合国贸易法委员会《电子商务示范法》及国外相关立法所确立的成熟原则，建议：在我国未来电子商务立法中，遵循非歧视原则的指导思想及功能等同法的法律承认途径，建立数据电文基础法律制度。

| Abstract: | The existing legal system obstructs the effective electronic commerce manipulation in that the application of electronic data message has changed the traditional way for transaction. The legal recognition and its the legal binding of data message therefore indicates a vital step in establishing a smooth link between the traditional legal system and the electronic commerce legal system. This paper attempts to borrow the mature approaches and concepts by UNCITRAL Model Law on Electronic Commerce, other established civil and commerce laws and the principles of Non-discrimination and Functional-equivalent approach to help establishing the basic law for data message in the future electronic commerce legislation. |
