| 摘 要： | 针对目前我国上市公司中引入和实施独立董事制度存在的问题，指出选择独立董事的标准和选聘程序是完善独立董事制度的前提和保障。从独立董事资格的认定和选聘机制的建立两个方面对这一问题进行了探讨和论述。

| Abstract: | Aiming at the problems in the operation of independent director system in Chinese listed companies at present, points out the standard of selecting the independent director. Considers that the employment mechanism is the foundation and assistance for modification of the independent director system. Two aspects of this system are described: the qualification recognition and the establishment of the selection and employment mechanism. |
