| 摘 要： | 我国的企业法律制度及相关的法律实践将企业的终极控制权界定给了企业的所有者 ,债权人只有在破产等特殊情形下才享有有限的权利 ,这不符合风险与权利对等的原则 .只有根据所担风险与所享权力—致的原则 ,公平地在所有者与债权人之间分配企业的终极控制权 ,才有利于较好地保护债权人的权益

| Abstract: | In our country,the ultimate right of a corportion should belong to the owners according to requirements of laws,the creditor only has limited part of the right in the settlement of resulting from badkruptcy.I this system is unfair to the creditors of corporation,because this system arrnagement is against the principle that right should match risk.This paper will deal with the question of creditprotection based on the distribution of ultimate right of corporation |
