关于对公司法修改若干问题的思考

从职工权益属于《劳动法》的调整范围，《公司法》不应过多涉及；关联方及交易问题应由《公司法》予以调整；《公司法》不必限制公司经营范围等方面，阐明了我国《公司法》的修改应注重符合市场经济的本质要求及国际惯例。

Considerations about Some Problems of Amending the Company Act

This paper expounds that amending the Company Act of China should pay attention to meeting the essential needs of the market economy and the international practice from aspects of that the rights and interests of the employees are part of the justification range of the Labor Law, and the Company Act should not touch upon them too much; the relative sides and the problems of trade should be adjusted by Company Act, and the Company Cat needs not to restrict the system of company's operation scope.
