| 摘 要： | 分析了风险投资过程中存在的逆向选择风险及其对风险投资机构的影响，以及不同能力的创业在融资过程中对控制权和剩余索取权不同的要求与侧重．讨论了在风险投资中制定适当的剩余索取权和控制权分配契约束吸引优秀创业家的重要性和必要性；从最大化风险投资家的期望效用的角度出发，并考虑创业家的参与与约束与激励相容约束，建立了一个吸引优秀创业家的信息甄别模型．用实例说明了该模型的具体运用．

| Abstract: | excellent entrepreneur. And from the view point of maximizing the expected utility of venture capital and considering the participation constraint and incentive compatibility constraint of entrepreneurs, a screening model to abstract excellent entrepreneur was set up. At last, an example was given to show the application of the screening model to abstract excellent entrepreneur. |
