| 摘 要： | 阐述了董事的分类、地位、作用和企业集团外派董事的履职风险及防范。提出了通过公司章程确立外派董事的法律地位及制定专门的外派董事管理办法以加强企业集团外派董事管理制度的建设,包括确立主管部门,建立外派董事档案库,确立外派董事选派程序,细化外派董事履职规定,明确外派董事履职风险承担原则,制定外派董事奖惩措施等。
