公司资本制度与组织制度的立法比较与启示

资本与组织机构是公司赖以生存和正常运转的两大支柱 ,由此而建立的公司资本制度与组织制度不仅是公司理论的核心 ,而且也是世界各国公司立法的重要原则。与这两项制度的国际立法相比较 ,我国现行《公司法》有明显不足。基于社会现实的需要 ,并为了与国际公司立法的发展趋势相适应 ,我国公司资本制度应改用认可资本制或折衷的授权资本制 ;我国公司组织制度须在股东大会制度、落实董事会中心主义、加强监督体系、大力推行职工参与制等方面予以修改完善。

Legislation Comparison Between Company Capital System and Organization System

Capital and organizational framework are two supports that company depends on to work normally, so company capital system and organization system are not only the core of company theory but also the important principle of company legislation in every country of the world. Comparison with the international legislation of the two systems shows that there is an obvious shortage in the actual Company Law of our country. According to the need of social reality and for accommodating to the developing trend of the international company legislation, company capital system of our country should adopt recognized capital system or eclectic accredited capital system instead; our country company organization system needs amending some aspects such as stockholders meeting system, fulfilling directorate center principle, strengthening supervision system, powerfully pushing employees, participation system and so on.
