| 摘 要： | 公司制度的一项显著特征就是公司的有限责任，但公司的有限责任就使得债权人处于更不利的地位，因此在立法中有必要对公司的债权人予以保护。虽然公司法就公司的设立、运行到终止的整个过程中对公司债权人的保护都有相应的规定，但其中仍有不足之处，须加以规制。

| Abstract: | Limited liability is one marked feature of corporation system, but it makes creditors lie in unfavorable situation. Therefore it is necessary to protect creditors in legislation. Although corporation law has stipulations about creditors protection in the whole process from setup and operation to termination, there is still room to improve. |
