| 摘 要： | 我国独立董事制度构建的价值取向与我国现已基本构建完毕的公司法律体系及我国资本市场的现状存有许多冲突,对这种冲突的深入探讨有助于研究我国公司法律体系中一些最基本的问题.本文着重分析独立董事制度的价值取向并试图溯其源流,以解决制度体系融合时出现的冲突和矛盾,为重理我国公司法律体系观念作一基础研究尝试.

| Abstract: | There are a lot of conflicts between the value-direction of building the independent directors system and the basically built the company law system and the present situation of the capital market in China. A profound inquiry into these conflicts helps study some fundamental problems in the company law system. This paper analyses the value-direction of the independent directors system and tries to trace back its source so as to solve the conflicts and contradictions appearing in combining different systems and to make an attempt of basic research on the thought of paying attention to the company law system. |
