| 摘 要： | 在分析公司捐赠的劝导型社会责任的基础上,提出应当在制度上为公司捐赠营造一个良好的慈善环境.从公司内部看,可以通过公司章程对董事的捐赠决策权进行约束;从公司外部看,国家要改革现行的税收制度并严格慈善机构监管制度,使股东和公司能够得到实际的优惠,并对自己捐赠的财物的去向有清楚地了解,激励他们做出捐赠的善举.

| Abstract: | Based on analysis of social responsibilities of corporation donation,it is necessary to form a system to build up a suitable circumstance for corporation donation to charity.Inside the corporation,the director's power over donation should be restricted by bylaw.Outside of the corporation,the authorities should reform the taxation administrative system and strengthen charity supervisory system,which provides substantial interests for corporations and their shareholders,which provides adequate information about the distribution of donation,which stimulates corporations to further efforts. |
