| 摘 要： | 在遵循股东利润最大化原则的前提下,公司董事在任何时期,而不仅仅只是在公司破产或 濒临破产时,都应对公司既有的债权人承担一种间接义务。只有这样,才能在现行立法和合同权利之外给 债权人利益以更多的关注,这样做非但不会降低公司运作的效率,反而更有利于公司的持续健康发展。

| Abstract: | Directors assume a lasting indirect responsibility to creditors besides their direct responsibility of maximizing shareholders'profits so long as the company is in operation, be it in insolvency or not. The compulsion can provide more efficient protection to creditors outside the existing legislation and contractual rights. It enhances rather than reduces corporation's efficiency and facilitates the corporation's healthy development in the long run. |
