| 摘 要： | 跨国公司大规模并购中国企业(特别是国有企业)，成为学界关注的焦点。在对跨国公司的跨国并购行为作出界定的基础上，剖析跨国公司在华并购行为实行法律规制的动因，有利于完善跨国并购主体法和跨国并购行为法，实现有效规制跨国公司并购行为的目的。

| Abstract: | Multinational corporations are merging and acquiring Chinese corporations (especially including national corporations) on a large scale, which has been a point that the academic focuses its attention on. On the basis of defining the merger and acquisition of multinational corporations, the article goes deep into analyzing the reason of regulating the merger & acquisition of multinational corporations in China. In order to realize the purpose of regulation on merger and acquisition of multinational corporations, the suggestion is to perfect the law of subject and the law of behavior of multinational merger and acquisition. |
