本文讨论建立我国社会主义经济中必须优先考虑资本（金融）市场培育与建立的问题．结合我国现行企业改革，广泛地初探了产权（股权）交易、证券市场投资、金融改革、银行改革等问题．文中论述我国发展投资基金的必要性及其对构建我国资本市场的作用，特别还讨论了海外合作基金的建立、其优越性及其限制．

On Capital Market and Investment Fund in China

In this paper, the necessity of prior building the capital market in the framework of socialist market economy is discussed. Combining with the reform of modern enterprises,the problems concerning to property (share) right transfer, investment of stock market and the reform of finance and banking are primarily and widely studied. The development of investment fund and its role in building capital market in China are also discussed, particularly, the oversea investment fund, its advantages and limitations.
