| 摘 要： | 通过中小股东权益被侵害成因分析得出主要由公司制企业股权高度集中、机构投资者机会主义倾向、中小股东股权分散、获取信息成本过高、独立董事与监事会制度不能有效发挥作用几个方面构成,从完善公司信息披露制度和建立流通股股东参与决策和对公司业务运作情况的监督机制两个方面出发,得出调整上市公司的股权结构、确定政府的政策导向、加强独立董事的独立性、强化会计信息披露制度等对策.
