| 摘 要： | 公司监督机制是公司治理的灵魂。新《公司法》的出台,体现了众多的亮点,其中在公司治理方面对原《公司法》的完善尤其明显。然而,新《公司法》在这方面的完善并非充分,它还存在许多的不足。本文从上市公司内部监督机制的角度,考察和分析了新《公司法》的相关不足以及提出了若干完善的建议。
