我国股权转让法律问题思考

随着我国市场经济的不断发展,股权转让逐渐成为企业募集资本、产权流动重组、资源优化配置的重要形式.股权转让,涉及公司股东和公司债权人的利益,也关系到我国市场经济的健康、稳定发展.股权转让应当依法进行,既要维护法律所确定的资本三原则,又不能损害公司股东,尤其是中小股东的合法权益.因此,文章在通过比较并合理借鉴国外先进的立法经验的基础上,结合我国实际情况,对我国股权转让制度提出完善建议.
