| 摘 要： | 分析了小股东搭便车的情况下，大股东监督的临界持股比例．通过比较侵害与不侵害两种情况下收益的效用值，得出侵害小股东利益是大股东的理性选择．通过所建的理论模型，对影响大股东侵害程度的各种因素进行了分析，得出加强监督对减少大股东侵害行为有明显作用．

| Abstract: | This article suggested the minimum share held by large shareholders under such a condition that small shareholders are more likely to be free riders than large ones on monitoring the agents of corporation. By comparing the values of utility of the revenue between expropriation and non expropriation, it concluded that the expropriation is the rational choice for the large shareholders. Through theoretical model building, it analysed the factors which influence the degree of the expropriation and concluded that strengthening the monitoring can greatly reduce the expropriation. Finally, the policy implications were given. |
