| 摘 要： | 我国现行法律在中小股东合法权益保护上存在着重大的缺陷。引入并在我国推广国际通行的优先股，让中小股东主动选择看得见的利益。根据“权利义务对等原则”和“风险效益对等原则”，拿“用脚投票”的消极的形式平等来换实实在在的收益，对广大中小股东而言未尝不是一个皆大欢喜的选择。

| Abstract: | There are great defects in protecting the medium and small shareholders＇ interests in our laws. The international Preference shares to be introduced and promoted are accepted by us, so that medium and small shareholders can reap tangible interests, sticking to ＂rights and obligations of the principle of reciprocity＂ and ＂risk-benefit principle of reciprocity＂, using ＂voting with their feet＂ to obtain real bennefits, for most shareholders, it might be a happy choice. |
