民生银行海外并购的动因、绩效评估及其启示——以并购美国联合银行为例

2008年爆发的全球金融危机,引发了新一轮的银行业并购潮。在这次金融危机中,欧美银行都遭遇了不同程度的损失,而中资银行却在危机中向海外扩张,其中不乏有成功的案例,但也存在一些失败的并购行为值得我们深思。民生银行并购美国联合银行作为中国银行业并购的一个大事件,其海外并购动因、并购前后的绩效变化等,通过因子分析法证明民生银行海外并购是不成功的,其海外并购中存在的问题值得中资银行加以防控。

Research on Motivation, Performance and Recommendations of Minsheng Bank Overseas Merging and Acquisitioning Union Bank of the United States of America

The global financial crisis which broke out in 2008 caused a new merger and acquisition tide among banks. During the crisis, the European and American banks encountered losses in some degree. On the contrary, the Chinese banks looked for chances to develop abroad. Some banks have succeeded and some banks have failed. Under such a situation, this article chooses Minsheng Bank as a research object. By analyzing Minsheng Bank＇s overseas merger and acquisition motivation and using Factor Analysis Method to analyze its performance. Finally the author points out some problems about Minsheng Bank＇s measures and gives some advice for the Chinese banks＇ overseas development.
