| 摘 要： | 目前，公司法人人格被滥用的情况，已严重影响到公司制度的积极作用，为维护债权人利益，确保公平与正义，有必要以公司法人人格否认制度的适用要件予以严格把握，我国建立公司人格否认制度的过程中宜完善公司独立人格和有限责任制度。以法律形式明确公司法人人格制度的适用条件，引进判例制度。

| Abstract: | The abuse of the company' s legal person has seriously affected the positive functions of the system of the company. In order to preserve the interest of the creditors, it is necessary to strictly control the applicable system of denying personality of the legal person of the company. The paper states that it is suitable to perfect the system of personality and his limited responsibility during the course of establishing the personality denial system, and to stipulate legally the practical conditions for the company' s legal person and introduce the system of judicial precedent. |
