独立董事制度:环境分析和对策研究

独立董事制度是从国外引进的一项完善公司治理结构的制度措施。从我国近几年的实践来看它存在许多问题，其重要原因是相关环境不健全。文章着重分析了我国实施独立董事制度的法律环境、制度环境、舆论道德环境和社会文化环境的现状与不足，同时提出了改善这些环境的对策建议。

Independent Director System:A Study of Environment and Countermeasures

Independent Director (ID)is an economic system introduced from overseas,aiming at a better corporate administration for inland companies.But, from the practice conducted in the past several years,a variety of problems still exist because of a crippled environment.Having analyzed all existing conditions for ID in terms of laws,regulations,professional ethics and cultural factors,this paper puts forward some suggestions of corresponding countermeasures to put this introduced system into its right channel.
