我国海外投资立法存在的问题及相关立法建议

我国的海外投资始于1979年，随着全球经济一体化的深入和我国改革开放力度的不断加大，我国的海外投资发展迅猛．但作为规范和调整海外投资行为的重要手段——海外投资法律规范，在我国尚存在诸多的问题和不足．因此，本文对我国海外投资立法在宏观立法体系层面和微观的各项具体法律制度层面（如海外投资审批与监督、海外投资外汇管理、海外投资国有资产管理）上存在的问题和不足进行分析，并就我国海外投资存在的问题和不足的原因进行探讨，从而对完善我国海外投资立法提出相关立法建议。

The Existing Problems and Relevant Legislate Propositions about The Overseas Investment Legislation of Our Country

The overseas investment of our country began in 1979, with the deepening of global economic integration and constant increasing of efforts of reform and opening-up of our country, the development of the overseas investment of our country is swift and dynamic. But regarding the important means of standardizing and adjusting the behavior of overseas investment, the legal norm of overseas investment, there is still many problems and deficiencies in our country., which is unfavorable to further healthy development of the overseas investment activity of our country. Therefore, the author at the beginning introduces present domestic law norm and international law norm concluded or acceded about overseas investment of our country, and focuses on analyzing the existing problems and deficiencies about the overseas investment legislation of our country in the aspect of microscopically legislative system and every micro concrete legal system （such as Overseas Investment Approval and Supervision, Foreign Exchange Management of Overseas Investment, Overseas Investment in State-Owned Asset Management）. The ways of improving the overseas in vestment legislation of our country are put forward in the end.
