| 摘 要： | 协议收购是我国目前上市公司收购的主要方式。它对于降低收购的成本、方便非流通股的流通、优化资源配置具有积极的意义。对于协议收购,我国立法规定得较为简单粗略,亟待完善。

It's very meaningful to the circulation of non-circulating share,reducing the cost of takeover and optimizing the disposition of resource..But to takeover agreements,our law is quite simple and to be made perfect. |
