| 摘 要： | 有限责任公司的特性决定了公司小股东面临着股份公司小股东所未曾遇见到的困境与压制。在有限责任公司小股东利益的保护上，有德国大股东承担“忠实义务”和英国规定“不公平损害条款”两种模式。我国公司法应当明确小股东股利分取权、大股东对公司和小股东的忠实义务，并扩大法院的受案范围。

| Abstract: | The characteristics of the Ltd liability corporations let their small shareholders face an unprecedented predicament and pressure. There have been two patterns of protection for the rights of the small shareholders of the Ltd liability corporations. By the way of surveying the two patterns, Law of Corporation should stipulate that the small shareholders enjoy their rights to share their dividents, that the big shareholders carry out their faithful duty for the small ones and that the lawcourts expand their management spheres. |
