| 摘 要： | 法人人格否认制度的确立,旨在控制不法股东利用公司法人人格独立地位转移财产、逃避执行、损害债权人利益。在司法程序中引入该制度并建立可行性操作规程,可在相当程度上为解决当前由于公司不法股东滥用公司法人人格而造成的对公司执行难问题提供一种新的思路。

| Abstract: | The establishment of legal person’s personality negation system aims at the control of the use of legal person’s independent position by illegal shareholders in asset transfer,avoidance of implementation in order to pro-tect the benefit of debtors.The introduction and establishment of feasible operation regulations in judicial procedure can help to find out solutions to the difficulties in the implementation resulted from the abuse of legal person’s per-sonality by illegal shareholders. |
