| 摘 要： | 通过对美国私募股权基金制度的考察,认为有限合伙制之所以能够替代公司制成为主流的组织形式,与美国的法律和政策有很大关系。我国2006年修改的《合伙企业法》确立了有限合伙制度,从而为这种组织形式排除了法律障碍。虽然我国发展有限合伙私募股权基金面临诸多困境,但随着我国经济的飞速发展,法律的不断完善,我国已具备了开展这种组织形式的条件。

| Abstract: | By examining the American system of private equity funds,partnership is found more important than corporation that is related to the policies and the legal system of America.The limited partnership system is established in the revision of Law of the Peoples Republic of China on Partnership Enterprises in 2006,which removes legal obstacles.Although the development of limited partnership private-equity funds in China faces many difficulties,but with the rapid development of China＇s economy,the constant improvement of the law,China has met the conditions for carrying out this form of organization. |
