有限责任公司劳务出资探析

依现行立法,劳务出资不是能作为有限责任公司的出资形式。从立法价值和具体立法标准去衡量出资形式的适格性捉襟见肘,为顺应促进中小企业发展的时代潮流,通过分析现行立法价值困境和反思现行立法出资标准,提出加快有限责任公司劳务出资的立法进程,建立劳务出资法定评估制度和公示制度及出资财产保险制度作为相关的配套措施。     

公司劳务出资的立法建议

针对我国现行公司法不允许劳务出资的现状以及理论界认为劳务出资具有立法上的困难,从三个方面对劳务出资制度提出立法建议,即建立劳务出资的评估规则,确立劳务出资的激励约束机制,明确劳务出资者的法律责任,从而阐明劳务出资具有立法的可行性。     

劳务出资法律制度的完善

由于劳务的人身属性与价值的不确定性,我国传统公司法理论及新修订的公司登记管理条例都认为劳务不宜作为出资,但股东出资的渠道仍然有拓宽的必要,我国公司法立法应当顺应时势,认可劳务出资。在确认劳务出资时,应处理好劳务出资的评估和法律责任等问题,以确保公司的资本真实和债务清偿。

Markedness and its Interpretation in Language Use

Language markedness is a common phenomenon in languages, and is reflected from hearing, vision and sense, i.e. the variation in the three aspects such as phonology, morphology and semantics. This paper focuses on the interpretation of markedness in language use following the three perspectives, i.e. pragmatic interpretation, psychological interpretation and cognitive interpretation, with an aim to define the function of markedness.     

Features of Women's language

Language is a means of verbal communication. People use language to communicate with each other. In the society, no two speakers are exactly alike in the way of speaking. Some differences are due to age, gender, statue and personality. Above all, gender is one of the obvious reasons. 低渗透非均质砂岩油藏启动压力梯度研究

理论推导与室内实验相结合,建立了低渗透非均质砂岩油藏启动压力梯度确定方法。首先借助油藏流场与电场相似的原理,推导了非均质砂岩油藏启动压力梯度计算公式。其次基于稳定流实验方法,建立了非均质砂岩油藏启动压力梯度测试方法。结果表明:低渗透非均质砂岩油藏的启动压力梯度确定遵循两个等效原则。平面非均质油藏的启动压力梯度等于各级渗透率段的启动压力梯度关于长度的加权平均;纵向非均质油藏的启动压力梯度等于各渗透率层的启动压力梯度关于渗透率与渗流面积乘积的加权平均。研究成果可用于有效指导低渗透非均质砂岩油藏的合理井距确定,促进该类油藏的高效开发。
