我国上市公司退市机制的研究

本文通过对外国证券市场退市机制的比较学习，提出一些完善我国上市公司退市机制的建议。建立完善退出机制能使公司经营者能够更多地关注自身股票价格的市场表现，可以对企业管理层产生有效的约束和激励作用，促使上市公司更加充分地进行信息披露，增强信息的透明度，促进市场运行的透明、公平和高效，从而实现证券市场优胜劣汰的功能。     

上市公司治理:问题与对策

上市公司是证券市场的基础，而公司治理是上市公司的基础，公司治理的状况决定着上市公司的基础，公司治理的状况决定着上市公司的质量和证券市场的规范。本对这一问题试作探讨。     

上市公司退出机制法律问题探讨

1990年12月和1991年7月，沪深证券交易所相继成立。证券市场不仅为国家筹措了大量资金，支持了国有企业的公司制改造，而且培养和造就了众多有金融意识的投资。但是，由于没有真正实和地上市公司退出机制，使得二级市场恶意违规炒作现象不但司空见惯，而且愈演愈烈。这种状况不仅加大了股市的风险和泡沫，严重扭曲了投资理念，而且使证券市场优化资源配置等功能无法实现。因此，加强对上市公司退出机制法律问题探讨，对完善我国证券和公司法制建设，推动证券市场健康、规范、稳定发展具有重要的现实意义。     

南京市加大利用资本市场力度的策略探讨

上市公司股票名称变更实际效果分析

通过1999年至2003年我国上市公司股票名称变更次数及原因的统计和分析,得出:上市公司股票名称变更的主要原因是由于进行了资产重组或者控股股东发生变更;我国证券市场对于高科技具有强烈的偏好,许多上市公司在股票名称变更后的新名称中带有科技等字样;上市公司股票名称变更在一定程度上提升了公司的经营业绩,特别是实质性重组后的更名大幅度提高了公司经营业绩,促进了企业的生产经营活动;在股票二级市场上,投资者对上市公司股票名称变更很敏感,具有一定的向好反应.

大股东占用上市公司巨额资金的背景分析

近年来我国证券市场上出现了较为普遍的大股东占用上市公司资金现象。法律上大股东对上市公司任何财产的非法占有，并借此从上市公司获取非法利益的行为，都构成证券市场中所称的“占用上市公司资金”。其形式不外乎两种：一是大股东直接从上市公司获取货币并对该货币进行事实上的占有，是一种对资金的直接占用；二是大股东间接地占用上市公司的资金。为什么会发生此类现象呢?本文认为，此类现象背后有着深厚的理论基础。一方面我国公司制度安排的不合理给大股东占用资金有机可乘，另一方面是大股东与上市公司之间不对称的委托-代理关系导致大股东侵占上市公司利益。

上市公司会计信息披露是证券市场能否有效运行的基础，为了使我国的资本市场健康发展，必须加强对上市公司会计信息披露问题的研究。本文指出了目前我国上市公司在会计信息披露方面存在的问题，从理性的角度深入剖析问题产生的原因，并且提出了规范我国上市公司信息披露的对策。     

Markedness and its Interpretation in Language Use

Language markedness is a common phenomenon in languages, and is reflected from hearing, vision and sense, i.e. the variation in the three aspects such as phonology, morphology and semantics. This paper focuses on the interpretation of markedness in language use following the three perspectives, i.e. pragmatic interpretation, psychological interpretation and cognitive interpretation, with an aim to define the function of markedness.     

Features of Women's language

Language is a means of verbal communication. People use language to communicate with each other. In the society, no two speakers are exactly alike in the way of speaking. Some differences are due to age, gender, statue and personality. Above all, gender is one of the obvious reasons. The writer of this paper tries to describe the features of women＇s language from these perspectives： pronunciation, intonation, diction, subjects, grammar and discourse. From the discussion of the features of women＇s language, more attention should be paid to language use in social context. What＇s more, the linguistic phenomena in a speaking community can be understood more thoroughly.     

低渗透非均质砂岩油藏启动压力梯度研究

理论推导与室内实验相结合,建立了低渗透非均质砂岩油藏启动压力梯度确定方法。首先借助油藏流场与电场相似的原理,推导了非均质砂岩油藏启动压力梯度计算公式。其次基于稳定流实验方法,建立了非均质砂岩油藏启动压力梯度测试方法。结果表明:低渗透非均质砂岩油藏的启动压力梯度确定遵循两个等效原则。平面非均质油藏的启动压力梯度等于各级渗透率段的启动压力梯度关于长度的加权平均;纵向非均质油藏的启动压力梯度等于各渗透率层的启动压力梯度关于渗透率与渗流面积乘积的加权平均。研究成果可用于有效指导低渗透非均质砂岩油藏的合理井距确定,促进该类油藏的高效开发。
