国有高科技企业并购风险分析及评价体系研究

面对国内外日益复杂的经济环境,国有高科技企业如何识别并购机遇并评价并购过程中的风险成为管理者必须关注的重要问题。结合国有高科技企业特点分析了企业在实施并购过程中的主要风险因素,建立了一套综合评价指标,在此基础上基于模糊层次分析法设计了一套风险评估体系。该评估体系易于操作,适用于风险评价指标无法具体量化、指标权重不易判断的多层次指标综合评价问题,对国有高科技企业在并购过程中的风险识别和防范具有一定借鉴意义。

Research on Analysis and Evaluation System of the Merger and Acquisition Risk in State-owned High-tech Enterprises

Facing with the more and more complicated economic circumstances,how to recognize the merger and acquisition(M&A) opportunity and evaluate risk in M&A activities of state-owned high-tech enterprises has been an importance issue needing the administrators concern.Therefore,this paper combines the features of the state-owned high-tech enterprises to analyze main risk factors during the running of M&A and constructs a set of comprehensive evaluation index,and based on this design a set of risk evaluation system by utilizing fuzzy analytical hierarchy process.Because this evaluation system is easy to be operated and is the same with solving such multi-level index evaluating problems as incapable quantization of risk evaluating index and difficult judgment to index weight,which has the referential significance to the M&A risk recognition and prevention in state-owned high-tech enterprises.
