| 摘 要： | 针对现有企业理论在分析方法上忽视了整体分析方法的缺陷，从不同利益集团互动性选择的视角来研究国有企业所有权结构和产权改革的内在逻辑。小集团要比大集团有力量，企业内部强势小集团能主导国有企业改革过程，形成内部人控制。国有企业产权改革必须依据企业利益关系协调发展的客观要求，并依据利益兼容与正和博弈的原则，动态调整所有权结构和治理机制。

| Abstract: | In a transition economy, institutional change of state-owned enterprises may be in voting among relevant interest groups, and some powerful interest group may dominate the firm's ownership reform. So there emerges insider' s control. For the sake of objective requirements of coordinate improvement of the firm' s interest relationships, we should follow the principles of compatible interests and positive sum game, and adjust the structure of corporate ownerships of SOEs. |
