| 摘 要： | 公司治理问题巳成为一个国际性的研究课题。公司治理问题的研究，不仅可以为国有企业在公司制改革中提供治理的运作模式，而且也可以为民营企业、乡镇企业等各类企业规范化的公司制改革提供了治理模式的典范。公司治理的核心是治理结构问题？还是治理制度？公司治理主要存在什么问题？本文就此进行了分析并提出解决问题的见解。
