建设工程内部承包的法律性质及风险防范

Analysis on Legal Nature and Risk Prevention in Internal Contracting of Construction Project

In current construction market, it is a mainstream model of management to adopt internal contracting by construction enterprises. In the practice of internal contracting , many risks will occur if the management is not standard, especially when the internal contractors carry out legal act with the third party in the name of construction enterprise. The purpose of this thesis is to prevent construction enterprise from unnecessary legal risks in the course of internal contracting. In order to clearly elaborate legal risks, the author made deep analysis on legal feature of internal contracting at first , including the core and legal nature. The author held the opinion that internal contracting is effective. Whether the internal contractor is employee of the construction enterprise or not is the key of internal contracting. On this basis, the lawsuit qualification of internal and external was researched. Who is to bear the legal liability of internal contractor’s legal act was studied. At last, the author submitted several effective legal proposals about how to prevent construction enterprise from internal contracting legal risk , including seals management, contract management and financial management etc, aiming at avoiding legal risks in internal contracting to largest extent.
