| 摘 要： | 完善公司治理结构是国企改制的重要目标,一个现代企业的兴衰成败,首先决定于公司治理,其次才是企业的经营管理。董事会治理是国企改制中公司治理结构的核心。文章对国企改制中完善公司治理和董事会治理进行了简要探讨,并对改制实务中完善公司治理提出了若干建议。
