| 摘 要： | 论述了企业治理结构的创新问题，即通过引入企业的利益相关方，建立企业利益相关方共同参与的协同治理机制，提出了通过对企业内部剩余索取权和控制权的合理分配，可以调动各利益方的工作积极性，在激励与约束的对称中有效实现企业内部权力的相互制衡。

| Abstract: | This paper discusses on the problem of innovation of enterprises' g ov ernance structure, that is, through introducing enterprises' stockholder, to bui ld cooperated governance mechanism of common participation of the stockholders, and puts forward that the rational allocation of enterprises' internal residual requesting right and controlling right can arouse the enthusiasm of each stockho lder and realize effectively the mutual constraint of enterprises' internal righ ts in the symmetry of encouragement and restriction. |
