制度关联与冲突--推行独立董事制度的困惑

目前，国内外对独立董事毁誉不一，主要原因在于独立董事存在制度关联和冲突，由此造成制度推行过程中的种种困惑，如：谁提名独立董事?该不该给独立董事报酬?给多少合适?哪类人担任独立董事更好?获取信息是否会影响独立性?独立董事与监事会的职能融合还是叠加?引入独立董事制度是否会偏离公司治理目标?分析这些困惑，有助于科学理性地认识独立董事制度。

At present there are different views about the independent directors at home and abroad. The major reason lies in relevance and conflict of the system of independent directors which cause puzzles in carrying out the system. For example, who nominates independent directors?
