| 摘 要： | 从理论和实证两个角度论证了股权制衡对内部人掠夺行为的抑制作用，通过股权制衡度与公司业绩的相关数量分析，得出了最佳的股权制衡度范围，并针对我国上市公司的股权结构特点，就如何安排制衡的股权结构提出了具体建议。

| Abstract: | The paper theoretically and empirically shows that the power balance with shareholder structure has the effectiveness to restrict the internal grabbing behavior. The correlation of power balance and the performance gives the best range of shareholder structure. Some suggestions are given for the implementation of this approach to the current special equity structure of China's listed companies. |
