| 摘 要： | 由于历史的原因，我国国有上市公司的股权结构十分独特，不仅不具有现代企业的优点，而且缺乏必要的内部治理和监督机制。以公司的利益相关理论为指导，改变国有股“一股独大”及其他不合理现象是国有上市公司改革的必由出路。

| Abstract: | Because of some historical reasons, the shares structure of our country's state-owned listed companies, which is very unique, not only has no the advantages of the modern enterprise but also is lacking in the necessary internal control and supervision mechanism. Being guided by the theory of correlated interest of the enterprise and changing the unmatched situation of the state-owned share and other irrational phenomena is the only way for the reform of the state-owned listed companies. |
