| 摘 要： | 公司的社会性是独立董事制度产生的基础,在公司尤其是上市公司中建立明确独立董事制度,可以有效防止大股东利用对公司的控制地位谋取不正当利益,以至损害其他投资者的利益和社会利益的行为,从而保证董事会的公正和独立。

| Abstract: | Corporations' socialization is the basis for the birth of the independent director system. In some corporations, especially those appearing on the market,"law of corporation" can make clear and definite the independent director system and the relative legal liability to prevent those big shareholders from seeking unjust interests, or even injuring the social and other investors'interests, and to ensure the fairness and independence of the board of directors. |
