一人有限公司适用人格否认制度的新思考

在法律层面上,首创的公司法人人格否认制度、一人有限公司制度等是2005年修订《公司法》后的几个主要成果,这也符合公司发展的世界潮流和趋势。但《公司法》第64条之规定,使刚刚被认可的一人有限责任公司处于进退两难之境地。在防范一人公司的法律风险上,应细化适用公司人格否认制度的操作规则,这既有助于司法裁判,又能够公正、平等地保护当事人的合法与合理利益诉求。故而没有必要设立一人有限公司适用＂人格滥用推定＂制度。

On the application of disregard of corporate personality in one-member corporation of China

At the legal level,the foundation of disregard of corporate personality system and one-member corporation system are the two great achievements of amendment of Corporation Act of PRC in 2005.And it also conforms to the development of corporate in the world trend.However,there is another special system in one-member corporation,the presumption of abuse of corporate personality system,which makes one-member corporation in dilemma.To avoid the legal risk of one-member corporation,we may specify the operation rules of disregard of corporate personality,which is favourable for judicial judgement as well as fair and equal protection of legal and reasonable claim of parties.It is not necessary to set up the personality abuse presumption system for one-member corporation.
