| 摘 要： | 企业并购是企业实现低成本扩张的一种主要方式,并购风险的客观存在往往使企业并购未能实现预期目标,造成了种种并购失败.对企业并购过程中的主要风险（战略风险、财务风险、企业文化整合风险和市场风险）进行了分析,并在分析的基础上提出了防范风险的措施.

| Abstract: | The M&A of the enterprises is a main mode for realizing the low-cost expansion,and the objective existence of the M&A risks makes often the prospective targets of the M&A fail to be realized and cause various failures of the M&A.This paper analyzes on the main risks in the course of the M&A such as the strategical risk,financial risk,enterprise culture integrating risk and market risk,and based on this analysis,puts forward some measures for preventing these risks. |
