公司治理视角下的上市公司担保问题研究

担保对于上市公司及其股东以及社会而言是一个有利有弊的问题,本文从公司治理的角度对上市公司的担保问题进行了研究,分析了我国上市公司担保的演变阶段和公司治理机制对担保问题的影响,从内部治理结构和外部治理机制两方面提出了对策和建议。

Research on Guarantee of Listed Companies from the Perspective of Corporate Governance

Guarantee has both advantages and disadvantages to the listed companies and its stockholders, the author intends to research on guarantee in listed companies from the perspective corporate governance. At first, this thesis expound the concepts of guarantee; then it give an overview to literature about corporate governance and guarantee, and analysis the correlation between listed companies guarantee and corporate governance. The paper analyzed the history of China's listed companies guarantee. According to the above study, the author gives some suggestion to deal the problems in listed companies'guarantee.
