| 摘 要： | 构建我国公司治理结构的现实背景是我国许多公司存在着股权过度集中和职工、债权人等利害相关者的权益被漠视的问题。我国公司治理制度奉行大股东股权至上主义和集权主义模式又使上述问题进一步加剧。构建我国公司治理结构的根本思路应当遵循权力多源、平衡,并做到分权制衡,以防止大股东和内部人滥权。
